Discoveries That Matter ™ TRADEMARK LICENSE By registering to use one or more of the trademarks that are subject to this license, you will be deemed to have automatically accepted and agreed, without modification, to the trademark usage terms set forth below that apply to such use. IF YOU DO NOT AGREE WITH THE TRADEMARK TERMS OF USE SET FORTH BELOW, DO NOT USE THE TRADEMARKS. In consideration of the mutual promises, covenants and conditions herein contained, and other good and valuable consideration, the parties hereto agree as follows: 1. Sarnia.Lambton Economic Partnership Association is the owner and licensor (the “Licensor”) of the trademarks that are subject to this license agreement (the “License”, the “Agreement”). The terms of use set forth below relating to the use of those trademarks (the “Licensed Terms Of Use”), constitutes the entire Agreement between you (the “Licensee”) and the Licensor. 2. The following are the trademarks (the “Trademarks”) that are the subject of this License: (i) the phrase “DISCOVERIES THAT MATTER”, (ii) a design [for ease of reference, referred to as the “Fan Design” though that or any other descriptive nomenclature applied to the design shall not in any way limit the degree of protection attributed to the design] composed of the words DISCOVERIES THAT MATTER plus an image of a quasi.handheld styled “fan”, and (iii) the Fan Design plus the name of a geographic area within the Sarnia.Lambton region. 3. Licensor provides Licensee with a non.exclusive license to use the Trademarks. A Licensee’s License may be revoked without any notice by Licensor at any time and for any reason. This license may not be sub.licensed by the Licensee. 4. The Licensee’s use of the Trademarks is subject to the following conditions. (a) The Licensee acknowledges that the Licensor has standards (the “Standards”) for the character and quality of the services associated with the Trademarks and which Standards apply to all usage of the Trademarks, which Standards appear in a document published by the Licensor titled: Visual Identity Standards (the document titled Visual Identity Standards is published on/appears on the Licensor’s website). The Licensee agrees at all times to maintain the Standards as they appear in the document titled Visual Identity Standards (Licensor reserves the right to change, modify or amend without notice the Visual Identity Standards at any time and when Licensor does so Licensor will post the changed, modified or amended Visual Identity Standards on Licensor’s website, and the then modified Visual Identity Standards then becomes effective immediately upon such posting without notice; Licensee is responsible for visiting/revisiting Licensor’s Website to review the latest version of the Visual Identity Standards). Licensee is responsible for informing the Licensor of any relevant fact that Licensor should be aware of relating to Licensee’s use of the Trademarks relating to the integrity of the Trademarks including without limitation how Licensee’s use affects may negatively affect the character and quality of the services associated with the Trademarks. (b) The Licensee agrees to use the Trademarks only in association with the following services: promoting the economic and civic interests of the Sarnia.Lambton region and the businesses and residents within that region by developing civic pride within the region and the development of the economic growth of the region inside the region and the development of the economic growth of the region outside the region. (c) Upon the written request of the Licensor by email to the email address provided by Licensee during the registration process (or as that email address may have been changed at the written request of the Licensee), the Licensee agrees to provide the Licensor, within 7 calendar days of such request, with all materials, artwork, components, packaging, advertising and all related materials being used by the Licensee in association with the Trademarks for the approval of the Licensor. If the Licensee fails to provide such requested materials within the said 7 days, then Licensee’s licensed use of the Trademarks shall be automatically deemed to have been revoked upon the expiration of the said 7 days. (d) The Licensee shall give such notices as may be required by the Licensor for the purpose of indicating that the Licensee is an authorized licensee of the Trademarks. (e) Any goodwill established by the use of the Trademarks by the Licensee shall enure to the exclusive benefit of the Licensor and no interests are conferred upon the Licensee through the use by it of the Trademarks or the goodwill associated therewith. (f) Licensee acknowledges that the Trademarks are the property of the Licensor and agrees that it will not directly or indirectly do or cause to be done any act which may in any way jeopardize or adversely affect the validity of the said Trademarks or the title of the Licensor thereto. (g) Licensee agrees that on termination of this Agreement, it will forthwith cease all use of the Trademarks and will not thereafter use or advertise the Trademarks or any word, design, trademarks or trade name similar to or confusing with the Trademarks. 5. Licensor reserves the right to change, modify or amend these Licensed Terms Of Use at any time and when Licensor does so Licensor will post the changed, modified or amended Licensed Terms Of Use on Licensor’s Website, and the then modified Licensed Terms Of Use then becomes effective immediately upon such posting without notice. Licensee is responsible for visiting/revisiting Licensor’s Website to review the latest version of the Licensed Terms Of Use. 6. This License does not create a partnership, strategic alliance or joint venture between the parties and the Licensee shall have no power to obligate or bind the Licensor in any manner whatsoever. No waiver by either party of a breach or a default hereunder shall be deemed a waiver by such party of a subsequent breach or default of a like or similar nature. Resort by the Licensor to any remedies arising by reason of a breach of this License by the Licensee shall not be construed as a waiver by the Licensor of its right to resort to any and all other legal and equitable remedies available to the Licensor. This License shall enure to the benefit of, and be binding upon the parties’ respective successors and assigns. 7. The Licensee is responsible for informing the Licensor of any changes to the Licensee’s registration information including changes to the Licensee’s email or postal address.
